What is the bOI reporting form?

The Beneficial Ownership Information reporting form is used by the Federal Government to identify information about the individuals who directly or indirectly own or control a company.

The 2021 Corporate Transparency Act established a beneficial ownership information reporting requirement by the U.S. Government. The BOI reporting requirement will help the U.S. Government to further legitimize business ownership in the United States.

How Does the okie formation co. BOI Reporting form services work?

Upon purchase, the Okie Formation Co. will collect the information we need to submit your BOI Reporting Form on your behalf.  You will receive an Okie Formation Co. Information Form post-purchase to the email you include at checkout.

Within 3-5 business days, after you complete the Information Form, you will receive a FinCEN identifier as confirmation that your business’ beneficial ownership information report has been officially completed.

Penalties for failure to file BOI:

Failing to comply with the reporting requirements can result in penalties for the beneficial owners.

The willful failure to report complete or updated BOI to FinCEN, or the willful provision of or attempt to provide false or fraudulent BOI, may result in a civil or criminal penalties, including civil penalties of up to $500 for each day that the violation continues, or criminal penalties including imprisonment for up to two years and/or a fine of up to $10,000. 

Who is a beneficial owner?

A beneficial owner is anyone who, directly or indirectly:

  • Exercises substantial control over a reporting company; or
  • Owns or controls at least 25% of the ownership interests of a reporting company.

A reporting company can have multiple beneficial owners. Each one will need to be listed on the BOI Report.
